Terms of service

These terms of service ("Terms") govern your use of Citium Tech's business software service (the "Service"). By using our Service, you agree to these Terms.
These Terms apply to your business and all users you authorize to access the Service on your behalf.
1. Account registration
To use our Service, you must:
- Provide accurate and complete registration information
- Be at least 18 years old or represent a business entity
- Have authority to bind your organization to these Terms
- Keep your signin credentials secure and confidential
- Notify us immediately of any unauthorized account access
- Consent to product analytics collection through PostHog as described in our privacy policy - this is a required condition of using the Service
You're responsible for all activity under your account, including actions by your authorized users.
2. Communications from us
By creating an account, you agree to receive communications from us, including:
- Transactional emails (receipts, password resets, account notifications)
- Service announcements and critical updates
- Product updates, new features, and improvements
- Security alerts and important account information
- Responses to your support requests
- Subscription and billing notices
These communications are essential to providing the Service and cannot be opted out of while maintaining an active account. You may manage certain email preferences within your account settings, but you will continue to receive critical service and transactional communications.
If you prefer not to receive product updates and feature announcements, you may adjust your preferences in your account settings. However, you will still receive essential transactional and security-related communications.
3. Analytics and service improvement
By creating an account and using our Service, you consent to the collection of product analytics data through PostHog. This analytics collection is a required condition of using the Service and helps us:
- Identify and fix bugs
- Improve performance and reliability
- Understand which features are most valuable
- Provide better customer support
- Develop new features based on actual usage patterns
PostHog collects information about how you interact with our Service (pages visited, features used, time spent) but does not collect the actual content you create or your business data. For full details on what data is collected and how it's used, please see our Privacy policy.
You cannot opt out of PostHog analytics while maintaining an active account. If you delete your account, all associated analytics data will be removed from our active systems.
4. Acceptable use
You may use our Service only for lawful business purposes. You agree not to:
- Violate any laws or regulations
- Upload malicious software or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with other users' use of the Service
- Use the Service to spam or send unsolicited communications
- Reverse engineer or attempt to copy our Service
- Share your account access with unauthorized parties
- Attempt to block or interfere with analytics collection
We reserve the right to suspend or terminate accounts that violate these restrictions.
5. Your data
You own all data you upload to our Service. We don't claim ownership of your content or business information.
You grant us permission to:
- Store and process your data to provide the Service
- Access your data when you request support
- Use aggregated, anonymized data (including analytics data) to improve our Service
- Collect usage analytics through PostHog as described in our privacy policy
You're responsible for ensuring you have rights to any data you upload and that it complies with applicable laws.
6. Payment terms
Subscription fees are billed in advance according to your chosen plan. You agree to:
- Pay all charges on time
- Provide valid payment information
- Update payment details if they change
- Pay any applicable taxes
We may suspend your account for non-payment after 7 days notice. Overdue accounts may be subject to interest charges as permitted by law.
7. Refund policy
All payments for our Service are non-refundable. This includes subscription fees for monthly, yearly, and lifetime plans.
When you cancel your subscription, you retain full access to all features until the end of your current billing period. You will not be charged for any subsequent billing periods.
Example: If you purchase a yearly subscription on January 1st and cancel on February 1st, you will retain access to the Service until December 31st of that year. No refund will be provided for the remaining months.
Exceptional circumstances
Refunds may be considered in the following exceptional situations:
- Fraudulent or duplicate charges: If you were charged due to a technical error or fraudulent activity, contact support@app.citiumtech.com immediately with your order details.
- Service outages: If our Service experiences extended downtime (more than 72 consecutive hours) due to technical failures on our end, you may be eligible for a pro-rata credit or refund.
For any exceptional cases, please contact support@app.citiumtech.com with your order details. Refund requests must be submitted within 30 days of the charge.
8. Service availability
We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access. We may temporarily suspend the Service for:
- Scheduled maintenance (with advance notice)
- Emergency security or technical issues
- Legal compliance requirements
We'll notify you of planned maintenance and work to minimize disruptions.
9. Cancellation and data deletion
You may cancel your subscription at any time. Upon cancelation:
- Your access will continue until the end of your billing period
- We'll provide 30 days to download your data
- Your data will be deleted after the retention period
- All associated analytics data linked to your account will be removed from our active systems
- No refunds for unused subscription time
We may terminate accounts that violate these Terms immediately without refund. For terminations without cause, we'll provide 7 days notice and a pro-rata refund for unused time.
10. Intellectual property
We own all rights to our Service, including software, designs, and trademarks. These Terms don't transfer any ownership rights to you.
We grant you a limited, non-exclusive license to use our Service according to these Terms. This license ends when your subscription terminates.
11. Privacy and data protection
Your use of the Service is also governed by our Privacy policy, which explains in detail how we collect, use, and protect your information, including our use of PostHog for product analytics. By using the Service, you agree to both these Terms and our privacy policy.
12. Disclaimers
Our Service is provided "as is" without warranties of any kind. We disclaim all warranties, including:
- Merchantability or fitness for a particular purpose
- Accuracy or completeness of the Service
- Uninterrupted or error-free operation
- Security against unauthorized access
You use our Service at your own risk. We recommend regular data backups and security precautions.
13. Limitation of liability
To the maximum extent permitted by law, our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months before the claim.
We're not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.
14. Indemnification
You agree to defend and indemnify us against claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your data or content
- Your violation of third-party rights
15. Changes to terms
We may update these Terms occasionally. For significant changes, we'll email you at least 30 days in advance. Continued use of our Service after changes take effect means you accept the updated Terms.
If you don't agree to changes, you may cancel your subscription before they take effect.
